Tax

Public Law
Our team has experience advising national and international companies on compliance with applicable Chilean regulations, delivering solutions in highly regulated environments.
We provide comprehensive support in obtaining, modifying, and renewing permits, licenses, and authorizations from agencies such as the Financial Market Commission (CMF) and the Superintendency of Electricity and Fuels (SEC), among others. This is facilitated by our prior work experience in public regulatory bodies, sanctioning processes, and the drafting of regulations and applicable legislation.
Corporate Governance & ESG
We actively work with the boards of directors of publicly traded and regulated corporations to establish conflict of interest conduct guidelines, best practices in corporate governance, and ensure that company policies comply with the Financial Market Commission’s corporate governance regulations.
We also provide our clients with multidisciplinary legal advice on compliance with environmental, social, and governance (ESG) regulations, identifying applicable standards and assisting in defining the appropriate corporate practices for the company. Our goal is to advise companies not only on regulatory compliance but also on leveraging the impact of ESG practices in risk assessment, investment, and project processes. In reviewing a company’s ESG practices, we advise it from a practical, critical, and independent perspective.
Our team has extensive experience in developing corporate governance improvement plans, through the creation of new practices or the modification of existing ones, as well as monitoring the implementation of these improvement plans.
Finance
We have experience advising both creditors and debtors on all types of financing transactions, including syndicated loans, project finance, acquisition finance, and debt restructuring, among others.
We have also advised on the negotiation and structuring of local and international derivatives contracts, repurchase agreements (both exchange-traded and over-the-counter), and transactions executed under master derivatives or repurchase agreements.
Family Offices
We actively work with family offices and business families, providing legal advice primarily on tax and corporate matters.

Capital Market

Our work has included advising clients on securities registration processes with the Financial Market Commission and on the listing of companies on stock exchanges, as well as on all the necessary actions for the issuance and placement of securities and public offerings for the acquisition of shares.
We also advise our clients in their ongoing relationship with the Financial Market Commission.
Energy
Our partners have extensive experience advising national and international companies across the entire energy sector, including contract bidding processes, negotiation and preparation of electricity supply contracts for distribution, transmission, and open access, among others.
We have represented our clients in disputes before the Electricity Expert Panel, in audits by the Superintendency of Electricity and Fuels, and in their dealings with sector authorities, among other matters.
We have also advised on the various stages of hydroelectric plant and port construction, maritime concession applications, easements, and concessions for onerous use, as well as aspects related to their financing.
